SpecZure Reseller Terms

1. Scope and acceptance

These terms apply to every business ("Reseller") that buys Products from SpecZure LLC ("SpecZure") for resale. They apply alongside SpecZure's Terms of Sale; if the two conflict, these terms control on use, labeling, marketing, and resale. The Reseller accepts these terms when applying for an account. A new version applies once accepted and must be accepted before the Reseller's next quote request.

2. Definitions

"Products" means materials supplied by SpecZure. "Research Use" means laboratory research, analytical, and scientific use only. "End Customer" means anyone the Reseller sells, transfers, or supplies Products to.

3. Research use only

Products are supplied for Research Use only. They are not for human or veterinary use, diagnosis, treatment, or prevention of disease, or use in food, dietary supplements, cosmetics, or any form of administration. The Reseller may not sell, promote, or supply Products for any other use.

4. Labeling

Every unit and outer package must display, legibly: "For research use only. Not for human or veterinary use." Where the Reseller supplies label artwork, SpecZure approves it before production. Where the Reseller supplies no artwork, SpecZure applies a plain research label carrying the compound identity, amount, lot number, storage conditions, and the research-use statement. For bulk supply, every bulk container carries the same statement. If the Reseller repackages bulk material into smaller units, each unit must carry a research label approved by SpecZure in writing before use, with the same statement. The Reseller may apply its own label over a SpecZure label after delivery only with a design SpecZure has approved in writing, and only where the compound identity, amount, lot number, and the research-use statement remain visible. The Reseller may not otherwise remove, obscure, alter, or relabel any label after delivery.

5. Marketing restrictions

The Reseller, and anyone promoting on its behalf, must not:

• give dosing, reconstitution-for-administration, or administration guidance;
• make or imply human or animal health, performance, weight-loss, anti-aging, or other benefit claims;
• use testimonials, before-and-after content, or influencer promotion describing personal use;
• sell or bundle Products with syringes, needles, bacteriostatic water, or other supplies presented for administration; or
• list Products on consumer marketplaces or platforms that do not enforce research-use restrictions.

6. End Customer terms

The Reseller must pass on the restrictions in sections 3 to 5 to every End Customer and require End Customers to confirm Research Use before purchase. The Reseller must refuse any sale where it knows or has reason to believe Products will be used outside Research Use.

7. Minimum orders and pricing tiers

Minimum order quantities are set per Product in each quote and start from 500 units per Product per order. Per-unit pricing is set by the pricing tier the total order value reaches, as described on SpecZure's How it works page, and the tier is confirmed in each quote. Minimum share quantities in a pooled production run are stated for each run and may be lower.

8. Compliance with law

The Reseller is responsible for complying with all laws that apply to its purchase, import, storage, resale, and export of Products, including customs, licensing, controlled-substance, export-control, and sanctions requirements. The Reseller acts as importer of record.

9. Records and review

The Reseller keeps records of Product sales, including End Customer identity and research-use confirmation, for 3 years and provides them to SpecZure on reasonable request. SpecZure may review the Reseller's websites, listings, and marketing materials at any time.

10. Breach and remedies

SpecZure may decline any quote request or order and has no obligation to supply. For a marketing or labeling breach, SpecZure may require correction within 5 business days. For a serious or repeated breach, including any sale for human or veterinary use, SpecZure may immediately suspend supply, cancel open orders, and end the account.

11. Product quality

Products are supplied to the agreed specification with the documentation described in SpecZure's Terms of Sale. Testing charges are credited against the order. Products that fail to meet specification are replaced, and SpecZure performs any retesting.

12. Disclaimer

Beyond conformity with the agreed specification, SpecZure makes no warranty that Products are fit for any particular purpose.

13. Indemnity

The Reseller will defend and indemnify SpecZure against claims arising from the Reseller's labeling, marketing, resale, or supply of Products, or its breach of these terms.

14. Limitation of liability

SpecZure's total liability for any order is limited to the amount paid for that order. SpecZure is not liable for indirect or consequential losses.

15. Insurance

The Reseller maintains product liability insurance of at least $1,000,000 per occurrence while buying from SpecZure.

16. Complaints and withdrawals

The Reseller notifies SpecZure within 2 business days of any quality complaint, safety concern, or regulatory inquiry involving Products and cooperates with any product withdrawal.

17. Confidentiality

Each party keeps confidential the other's non-public commercial information, including pricing and specifications.

18. Brands

The Reseller owns its brand. Neither party uses the other's name or marks without written consent.

19. General

These terms are governed by the laws of the State of Wyoming, USA, with disputes resolved in the state or federal courts located in Wyoming. If a provision is unenforceable, the rest remains in effect. Notices to SpecZure go to info@speczure.com.
