SpecZure Referral Partner Terms

1. Role
The referral partner ("Partner") introduces prospective buyers to SpecZure LLC ("SpecZure"). The Partner is an independent contractor, not an employee, agent, or representative of SpecZure. The Partner may not negotiate prices, accept orders, make commitments, or enter agreements on SpecZure's behalf. The Partner has no authority over pricing. The Partner may submit a price adjustment request on a specific quote, and SpecZure decides it at its discretion.
2. Referrals and attribution
SpecZure gives the Partner a referral code. A buyer is attributed to the Partner when the buyer applies for a buyer account using that code, or when SpecZure accepts a lead the Partner registered before the buyer applied. Attribution is recorded at application and cannot be changed afterwards except by SpecZure in writing. Attribution lasts 24 months from the buyer's first completed order.
3. Marketing restrictions
The Partner, and anyone acting on its behalf, must not: give dosing, reconstitution-for-administration, or administration guidance; make or imply human or animal health, performance, weight-loss, anti-aging, or other benefit claims; use testimonials or content describing personal use; promote products to consumers, patients, clinics, or medical practices; state or imply that SpecZure products are for human or veterinary use; or make claims about SpecZure's capabilities, certifications, partners, laboratories, pricing, or delivery times beyond what SpecZure publishes. The Partner submits its marketing materials, websites, and listings to SpecZure for review before use, uses only SpecZure-approved assets for product claims, and discloses its commission relationship wherever required by law.
4. Communications
The Partner sends its own communications from its own systems and never from SpecZure's. The Partner is responsible for complying with all laws governing advertising, unsolicited email and messaging, and the disclosure of paid or commission-based promotion.
5. Use of the SpecZure name
The Partner may identify itself as a SpecZure referral partner and link to speczure.com. It may not register domains, social accounts, or advertising keywords using the SpecZure name, or present itself as SpecZure.
6. Commission
SpecZure sets each Partner's commission rate in writing. Commission is calculated on the total order value, excluding taxes, duties, shipping, and testing charges. Commission is earned when an order reaches completed status, and only for orders completed within the attribution window in section 2. Commission is not earned on orders that are cancelled, not completed, refunded, or replaced under the shipment guarantee or for nonconformity. Replacement product supplied at no cost earns no additional commission.
7. Payment
SpecZure records earned commission in the partner portal. Payment terms and methods are agreed separately in writing. SpecZure may offset amounts the Partner owes.
8. No commission in these cases
No commission is earned on buyers the Partner owns or controls, on the Partner's own purchases, on buyers already known to SpecZure before the referral, on buyers referred by another partner first, or where the referral code was used without the buyer's knowledge. A Partner account and a buyer account may not be held on the same email address.
9. Confidentiality
The Partner keeps confidential all non-public information it learns, including buyer identities, order values, commission rates, and specifications, and may not share them with other partners or competitors.
10. Data protection
The Partner may only pass SpecZure a prospective buyer's business contact details, with that person's agreement, and may not sign buyers up without their knowledge.
11. Suspension and termination
Either party may end this agreement at any time, with written notice. SpecZure may suspend or end a Partner's account immediately for a breach of sections 3, 4, 5, 8, 9, or 10. On termination, commission already earned on completed orders remains payable, and no commission is earned on orders completed afterwards.
12. No exclusivity or guarantee
This agreement is non-exclusive. SpecZure does not guarantee any volume of business and may decline any buyer, quote request, or order at its discretion.
13. Liability
SpecZure's total liability to the Partner is limited to commission earned and unpaid. Neither party is liable for indirect or consequential losses.
14. Indemnity
The Partner will defend and indemnify SpecZure against claims arising from the Partner's marketing, statements, or breach of these terms.
15. Changes
SpecZure may update these terms. Continued participation after an update means acceptance. Commission rate changes apply only to orders completed after written notice.
16. Governing law
These terms are governed by the laws of the State of Wyoming, USA, with disputes resolved in the state or federal courts located in Wyoming. Notices to SpecZure go to info@speczure.com.
